Well, I lucked out a bit and peeked in on the state of the OnRez viewer about a minute after it went live. It takes about as long to download as the regular viewer (about a minute and a half) being similarly sized (not like LoTRO's 900MB update today).

First impressions? Nothing is where my fingers expect it to be, and my visible view of the world is a bit reduced. Second impressions? I rather like it. The location bar (and embedded browser) can be hidden or revealed at the touch of a button (though the much larger new Linden Dollar balance display remains onscreen at all times).

The built in web-browser is darned convenient. I'm writing this post through the inworld viewer. Two new search buttons appear at the top - one in which you can type whole or partial region names (or URLs to open in the embedded browser), so long as you don't want to go to Io, or any other sim with a two character name - even though they are an exact match, OnRez refuses to honor those names through that interface. Instead, you have to go to the main map, as you would with the official client.

The second search box links to the standard Second Life search (defaulting to the All tab, apparently). It took me a minute to notice the Shop button that links to the OnRez site, and quite a while to identify "My Stuff" as the button for my inventory. The viewer did not change my home location, as the download page promised me that it would.

The addition of a teleport history is very nice indeed and it was a pleasant surprise that the minimap also folds away neatly and returns at the touch of a button. Overall, the reskinning is pleasant, but the low contrast is very hard on the eyes. On the whole, I'd stick with it, except for that. While I didn't notice it at first, 30 minutes with OnRez has been enough to start my eyes watering, and I've got to post this and switch viewers before I start rubbing dark circles under my eyes as a consequence. If the low contrast doesn't bother you, by all means this viewer is worth checking out.

OnRez User Agreement

The Electric Sheep Company, Inc. ("Electric Sheep Company," "we" or "us") provides the OnRez website located at www.onrez.com <http://www.onrez.com/> (the "Site"). Through the Site, Electric Sheep Company allows OnRez users to access and use services that we offer related to virtual online environments, including, but not limited to, providing a marketplace for buying and selling virtual goods (either through the Site or "InWorld," as defined below) and providing services for searching virtual online environments. (All of the foregoing services are referred to collectively as the "Services.") This OnRez User Agreement ("Agreement") is a legal agreement between you and Electric Sheep Company and it applies to you whether you are an "OnRez Member" or an "OnRez Visitor" (collectively, "OnRez Users"). An "OnRez Member" is a registered user of the Site or Services and may be either a "Buyer" (one who initiates a purchase of virtual goods or services) or a "Seller" (one who has created a listing of virtual goods or services that are offered for sale ("Listing")). An "OnRez Visitor" is a visitor to the Site or Services or person using the search services who has not registered with us. "InWorld" as used in this Agreement means using or accessing services while in a third party virtual online environment or online multi-user service, such as Second Life.

This Agreement limits Electric Sheep Company's liability and obligations to you and allows us to change, suspend or terminate your access to and use of the Site, Services and your OnRez account. We urge you to carefully read the terms and conditions of this Agreement and all policies referenced here or elsewhere on the Site. Those policies are all incorporated into this Agreement by reference and form part of this Agreement.

Under the terms, conditions and policies of any third party virtual online environments or multi user services that you use, such as Second Life, you have obligations to the providers of those services. You, and not Electric Sheep Company, are responsible for your compliance with those requirements. By allowing you to buy or sell goods or services through the OnRez service, Electric Sheep Company does not suggest, warrant or guaranty that your use of those goods or services in connection with any particular service is allowed by that service, nor that it complies with any laws or regulations that may apply to your use. Electric Sheep Company is not liable for your failure to comply with any applicable local, state, national and foreign laws, treaties and regulations or any rules, policies or procedures applicable to your activities.

YOU UNDERSTAND THAT BY CLICKING THE "I AGREE" BUTTON, BY USING THE SITE (INCLUDING ANY CONTENT PROVIDED THEREIN), SERVICES OR YOUR ONREZ ACCOUNT OR BY POSTING ANY LISTINGS ON THE SITE, YOU ARE AGREEING TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT ACCEPT THIS AGREEMENT IN ITS ENTIRETY, YOU MAY NOT ACCESS OR USE THE SITE OR SERVICES. If you agree to this Agreement on behalf of a business, you represent and warrant that you have the authority to bind that business to this Agreement and your agreement to these terms will be treated as the agreement of the business. In that event, "you" and "your" refer herein to that business.

1. Eligibility for Use. To be an OnRez User, use the Site, Services and have an OnRez account, you must be at least 18 years old. The Site and Services are merely a platform through which OnRez Users can enhance their virtual online environment experience and through which OnRez Members can buy and sell virtual goods and services. Electric Sheep Company is not a party to any relationship or separate agreement entered into between OnRez Members and disclaims any and all liability relating thereto. For example, OnRez is not a party to the transactions between OnRez Members for the sale or purchase of virtual goods or services via the Site or Services. OnRez Members are not employees, agents or contractors of Electric Sheep Company. The Site, Services and access to an OnRez account are not available to temporarily or indefinitely suspended OnRez Members. You are responsible for all equipment necessary to use the Site and Services.

2. Registration and Set-up of an OnRez Account.

o When you register with Electric Sheep Company and set up your OnRez account, you must provide Electric Sheep Company with accurate and complete information. You agree to promptly update your OnRez account information with any new information that may affect the operation of your OnRez account. You will need to verify any avatar name that you wish to use on the Site or Services, and your initial OnRez registration will not be complete until you have verified at least one avatar. Multiple avatars may be associated with your OnRez account. Please see our FAQs http://shop.onrez.com/help for further information on the avatar verification process. You authorize Electric Sheep Company, directly or through third parties, to make any inquiries we consider necessary or appropriate to verify your avatar name or validate your OnRez account information.

o You will not use false identities or impersonate any other person or use a username, avatar or password that you are not authorized to use. We encourage you to read our <<Privacy Policy>> http://shop.onrez.com/static/privacy/ for information about our policies and procedures regarding the collection, use and disclosure of information we receive from OnRez Users.

o You are responsible for safeguarding and maintaining the confidentiality of your username, password and corresponding OnRez account information. You agree not to disclose your password to anyone. You agree that you are entirely and solely responsible for any and all activities or actions that occur under your OnRez account, whether or not you have authorized such activities or actions. You agree to immediately notify Electric Sheep Company of any unauthorized use of your username, password or OnRez account.

3. Termination or Suspension of the Site or Services & Modification of the Agreement.

o Electric Sheep Company reserves the right in its sole discretion, at any time, to modify, discontinue or terminate the Site or Services or to modify or terminate this Agreement without advance notice. All modified terms and conditions will be effective immediately upon posting on the Site. If any modification is not acceptable to you, your only recourse is to cease using the Site and Services. By continuing to use the Site or Services following any posting of a new Agreement or policies on the Site, you accept and agree to be bound by the new Agreement or policies.

o Without limiting other remedies, Electric Sheep Company may at any time suspend or terminate your OnRez account and refuse to provide access to the Site or Services and suspend your ability to buy or sell using the Site or Services without reason or notice to you. Such termination or suspension amounts to a termination of this Agreement by Electric Sheep Company. In addition, Electric Sheep Company may notify authorities or take any actions it deems appropriate, without notice to you, if Electric Sheep Company suspects or determines, in its own discretion, that you may have or there is a significant risk that you have (i) failed to comply with any provision of this Agreement or any policies or rules established by Electric Sheep Company; or (ii) engaged in actions relating to or in the course of using the Site or Service that may be illegal or cause liability, harm, embarrassment, harassment, abuse or disruption for you, OnRez Users, Electric Sheep Company or any other third parties or the Site or Services. In the event that Electric Sheep Company discontinues the Site or Services or your access to either, subject to the terms of this Agreement, Electric Sheep Company will remit the virtual currency held in your OnRez account to your primary avatar. You may stop using the Site or Services at any time. You may also remove any goods or services you have provided in your Listings at any time. Subject to the terms of Section 9, any Comments (defined below) will remain on the Site or within the Services even if you remove your Listings.

o Any suspension, termination or cancellation will not affect your obligations to Electric Sheep Company under this Agreement (including, but not limited to, proprietary rights and ownership, indemnification and limitation of liability), which by their sense and context are intended to survive such suspension, termination or cancellation.

4. Proprietary Rights and Ownership.
(a) Content.
(i) Certain types of content are made available through the Site and Services. "OnRez Content" as used in this Agreement means, collectively, the text, data, graphics, images, Electric Sheep Company trademarks and logos and content made available through the Site and Services, excluding User Submissions. "User Submissions" as used in this Agreement means, collectively, the text, data, communications, messages, graphics, images, photos, video files and other content and information which OnRez Members post, upload and otherwise submit to the Site or Services, including, without limitation, in Listings. WHILE ELECTRIC SHEEP COMPANY IS UNDER NO OBLIGATION TO DO SO, Electric Sheep Company reserves the right to remove and permanently delete any onrez Content or User Submissions from the Site or services without notice, AND FOR ANY REASON Electric Sheep Company DEEMS SUFFICIENT.
(ii) You will not remove, alter or conceal any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Site, Services, OnRez Content, User Submissions or related products and services and you will not reproduce, modify, adapt, prepare derivative works based on, perform, display, publish, distribute, transmit, broadcast, sell, license or otherwise exploit the Site, Services, OnRez Content or User Submissions (other than your User Submissions). Electric Sheep Company and its licensors own all right, title and interest, including all worldwide intellectual property rights in the Site, Services and OnRez Content contained therein, other than your User Submissions.
(b) User Submissions.

(i) License Grant. Electric Sheep Company does not claim ownership rights in your User Submissions. However, by uploading, posting, submitting or otherwise transmitting any User Submission on or to the Site or Services, you hereby grant to Electric Sheep Company a non-exclusive, worldwide, royalty-free, sublicensable, perpetual and irrevocable right and license to use and exploit (e.g. crop and resize) your User Submissions as necessary to provide you with the Services. You represent and warrant that you own or have the necessary licenses, rights, consents and permissions to grant the foregoing licenses to Electric Sheep Company

(ii) Limitations. You acknowledge and agree that Electric Sheep Company may, at its option, recategorize any User Submission and establish limits concerning User Submissions, including, without limitation, the maximum number of days that User Submissions will remain available via the Services or on the Site, the maximum size of any files that may be stored on or uploaded to the Site or Services and the maximum disk space that will be allotted to you for the storage of User Submissions on Electric Sheep Company's servers. Electric Sheep Company will have no responsibility or liability for maintaining copies of User Submissions on our servers, and you are solely responsible for creating back-ups of your User Submissions.

(iii) Disclaimer. Electric Sheep Company does not have any obligation to monitor the User Submissions that are uploaded, posted, submitted or otherwise transmitted using the Site or Services, for any purpose and, as a result, is not responsible for the accuracy, completeness, appropriateness, legality or applicability of the User Submissions or anything said, depicted or written by OnRez Members, including, without limitation, any information obtained by using the Site or Services. Electric Sheep Company does not endorse any User Submission or any opinion, recommendation or advice expressed therein and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against Electric Sheep Company with respect thereto.
5. Buying and Selling.

o Use of the Site and Services is currently free of charge. We reserve the right to initiate charges for use of the Site or Services at any time. We will give you at least thirty (30) days notice of the introduction of such charges.

o Sellers set their own prices and all prices are subject to change in that Seller's sole discretion. As a Seller you hereby authorize Electric Sheep Company to collect the amounts due for each transaction and deposit them into your OnRez account provided the Buyer has the required funds available in their OnRez account.

o As a Buyer you hereby authorize Electric Sheep Company to withdraw fees from your OnRez account and deposit them into the OnRez account of the relevant Seller. You must already have sufficient virtual currency (such as Linden Dollars) in your OnRez account to complete a transaction with a Seller.
o You are solely responsible for all costs incurred by you in using the Site and Services. We encourage Sellers to provide information about their customer support and return policies in their Listings. Please see our FAQs http://shop.onrez.com/help for further information on the creation and posting of Listings. Electric Sheep Company is not responsible for issuing refunds RELATING TO transactions between OnRez Members. ELECTRIC SHEEP COMPANY WILL NOT PROVIDE REFUNDS IN ANY CIRCUMSTANCES and does not provide any customer support for goodS or services sold or purchased through the site or services. if you have a problem as a result of a purchase you should contact the seller.

6. Obligations of OnRez Members & Interactions between Buyers and Sellers. As an OnRez Member you acknowledge and agree to the following:
o The Site and Services are merely a platform through which OnRez Users can enhance their virtual online environment experience and through which OnRez Members can buy and sell virtual goods and services. Electric Sheep Company is not responsible for the use or exchange of any information, files, goods or services between OnRez Members. Electric Sheep Company does not: (i) refer, endorse, recommend, warrant or guarantee any virtual goods or services provided or offered by Sellers or any specific Seller and nothing will be considered as a referral, endorsement, recommendation, warranty or guarantee of the foregoing by Electric Sheep Company Electric Sheep Company does not review or police statements made by OnRez Members in their User Submissions or the User Submissions in general. Electric Sheep Company does not make editorial or managerial decisions concerning any User Submissions, nor will Electric Sheep Company be responsible for any Seller's failure to comply with his or her obligations or any laws or regulations concerning the content of his or her Listings. Electric Sheep Company does not control, nor is it responsible for, the truth, accuracy, completeness, safety, timeliness, quality, appropriateness, legality or applicability of anything said or written by OnRez Members, including, without limitation, any information contained in a User Submission (including any Listing).
o Electric Sheep Company reserves the right to contact OnRez Members, in compliance with applicable law, in order to evaluate compliance with the rules and policies in this Agreement. You will cooperate fully with Electric Sheep Company to investigate any suspected unlawful, fraudulent or improper activity, including, without limitation, granting authorized Electric Sheep Company representatives access to any password-protected portions of your OnRez account.

o You are solely responsible for your interactions (including any disputes) with other OnRez Members. You understand that Electric Sheep Company does not in any way screen OnRez Members. You are solely responsible for, and will exercise caution, discretion, common sense and judgment in, using the Site and Services and disclosing personal information to other OnRez Members. You agree to take reasonable precautions in all interactions with other OnRez Members, particularly if you decide to meet an OnRez Member offline, InWorld or in person. Your use of the Site, Services, OnRez Content and User Submissions is at your sole risk and discretion and Electric Sheep Company hereby disclaims any and all liability to you or any third party relating thereto.

o You will not upload, post, submit or otherwise transmit any User Submission: (i) that you do not have the lawful right to use, copy, distribute, transmit, display or sell; (ii) that infringes the intellectual property rights or violates the privacy rights of any third party (including, without limitation, copyright, trademark, patent, trade secret, or other intellectual property right, or moral right or right of publicity); or (iii) that is inaccurately described and misrepresents the virtual good or service you are advertising.

o You will not upload, post, submit or otherwise transmit, via the Site or Services, any User Submissions (including screen names) that: (i) are unlawful, harmful, threatening, harassing, defamatory or hateful; (ii) contain objects or symbols of hate, invade the privacy of any third party; or (iii) are deceptive, threatening, abusive, inciting of unlawful action, defamatory, libelous, constitute hate speech. Electric Sheep Company reserves the right to delete or remove any User Submissions that are otherwise objectionable in the sole discretion or opinion of Electric Sheep Company.
o You will not upload, post, submit or otherwise transmit any User Submissions that contain software viruses or any other computer code, files, or programs designed to: (i) harm, interrupt, destroy or limit the functionality of any computer, computer software or system; or (ii) interfere with the access of any OnRez User, host or network, including, without limitation, sending a virus, overloading, flooding, spamming or mail-bombing the Site.

o You will not upload, post, submit or otherwise transmit any User Submissions that include code that is hidden or otherwise surreptitiously contained within the images, audio or video of any User Submissions that is unrelated to the immediate, aesthetic nature of the User Submissions.

o You will not take any actions which may undermine the comment system used to solicit Comments (defined below) from OnRez Members, including, without limitation, leaving positive Comments for yourself or other OnRez Members using secondary names or creating fake accounts to do any of the foregoing.

o You will not impersonate or misrepresent your affiliation with any person or entity, through pretexting or some other form of social engineering or otherwise commit fraud.

o You will not use the Site or Services to provide any product or services claiming success with or offering information regarding lottery numbers or for purposes of multi-level marketing proposals (for example, offering to help participants "get rich quickly" or "make money surfing the Web") or use the Site or Services to promote bonus items, giveaways, random drawings, prizes, contests or games of chance.

o You will not collect or store personal information about other OnRez Members without their express permission.

o You will not encourage or instruct any other individual to do any of the foregoing or to violate any term of this Agreement.

7. Mature Content. You will label all User Submissions containing "Mature" content as such using the OnRez labeling system. "Mature" as used in this Agreement means content that contains nudity, violence or is sexually explicit in nature. You will not upload, post, submit or otherwise transmit, via the Site or Services, any User Submissions that: (i) contain content related to bestiality, rape, incest, sex with graphic violence or degradation; or (ii) constitute child pornography or child erotica. If Electric Sheep Company finds User Submissions that it determines, in its sole discretion, violate this section, Electric Sheep Company may, without notice, remove or block access to such User Submissions. Electric Sheep Company reserves the right to suspend or cancel at any time and without notice any OnRez account that Electric Sheep Company, in its sole discretion, determines to be in violation of this section. Electric Sheep Company will take all appropriate steps with User Submissions that Electric Sheep Company believes violate applicable laws, including cooperation with any investigation. If you see a User Submission that you believe is in violation of law or this section, please contact Electric Sheep Company immediately.

8. Obligations for all OnRez Users. The Site and Services may be used and accessed for lawful purposes only. You agree to abide by all applicable local, state, national and foreign laws, treaties and regulations in connection with your use of the Site and Services. In addition, without limitation, you agree that you will not do any of the following while using or accessing the Site or Services:

o Circumvent, disable or otherwise interfere with security-related features of the Site or features that prevent or restrict use or copying of any OnRez Content.

o Use any metatags or other hidden text or metadata utilizing an Electric Sheep Company name, trademark, URL or product or service name.

o Forge any TCP/IP packet header or any part of the header information in any posting or in any way use the Site or Services to send altered, deceptive or false source-identifying information.

o Interfere with, harm or disrupt (or attempt to interfere with, harm or disrupt) any web pages available at the Site, servers or networks connected to the Site, Services or the technical delivery systems of Electric Sheep Company's providers or disobey any requirements, procedures, policies or regulations of networks connected to the Site or Services.

o Attempt to probe, scan or test the vulnerability of any Electric Sheep Company system network or breach or impair or circumvent any security or authentication measures protecting the Site or Services, attempt to gain unauthorized access to any OnRez account information, computer systems or networks associated with the Site or Services or attempt to obtain any information or materials relating to the Site or Services through any means not intentionally made available by Electric Sheep Company through the Site or Services.

o Attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Site or Services.

o Attempt to access, search or meta-search the Site or harvest data or Listings from the Site with any engine, software, tool, agent, device, robot, crawler or mechanism other than software and/or search agents provided by Electric Sheep Company or other generally available third party web browsers (such as Microsoft Internet Explorer, Mozilla Firefox, Safari, or Opera), including, without limitation, any software that sends queries to the Site to determine how a website or web page ranks, without giving notice to end users that the source of the data is the Electric Sheep Company (or the Site) and providing credit thereto.

o Use the Site or Services in any manner not permitted by this Agreement.

o Encourage or instruct any other individual to do any of the foregoing or to violate any term of this Agreement.

9. Comments and Feedback.

o Comments. You can leave feedback and make comments about your experience with an OnRez Member with whom you have interacted ("Comments"). Electric Sheep Company advises you to exercise caution and good judgment when leaving such Comments. Once you complete and submit your Comments to the Site or Services you will not be able to go back and edit your Comments. You should also be aware that you could be held legally responsible for damages to someone's reputation if your Comments are deemed to be defamatory. Electric Sheep Company does not monitor or censor Comments that are provided by OnRez Members and disclaims any and all liability relating thereto. Notwithstanding the foregoing, Electric Sheep Company does reserve the right, in its sole discretion, to remove any Comments that it deems to be improper, inappropriate or inconsistent with the online activities that are permitted under this Agreement.

o Feedback. We welcome and encourage you to provide feedback, comments and suggestions for improvements to the Site and Services ("Feedback"). You may submit Feedback by contacting us through the "Customer Support" section of the Site. You acknowledge and agree that all Comments and all Feedback will be the sole and exclusive property of Electric Sheep Company You hereby assign and agree to assign all rights, title and interest you have in such Comments and Feedback to Electric Sheep Company together with all intellectual property rights therein.
10. Copyrighted Materials: No Infringing Use. You will not use the Site or Services to offer, display, distribute, transmit, route, provide connections to or store any material that infringes copyrighted works or otherwise violates or promotes the violation of the intellectual property rights of any third party. Electric Sheep Company has adopted and implemented a policy that provides for the termination in appropriate circumstances of the accounts of users who repeatedly infringe or are believed to be or are charged with repeatedly infringing the rights of copyright holders. 11. Indemnification. You agree to defend, indemnify, and hold Electric Sheep Company, its officers, directors, employees and agents, harmless from and against any claims, liabilities, damages, losses and expenses, including, without limitation, reasonable attorneys' fees and costs, arising out of or in any way connected with: (i) your access to or use of the Site, Services, OnRez Content and User Submissions; (ii) your violation of this Agreement; (iii) your violation of any third party right, including without limitation any intellectual property right, publicity, confidentiality, property or privacy right; (iv) any claim that one of your User Submissions caused damage to a third party, including without limitation claims that your User Submissions are infringing; or (v) any claim related to or arising out of your activities InWorld.
12. Disclaimer. THE SITE, SERVICES, ONREZ CONTENT AND USER SUBMISSIONS ARE PROVIDED "AS IS" WITH NO WARRANTY OF ANY KIND. ELECTRIC SHEEP COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SITE, SERVICES, ONREZ CONTENT AND USER SUBMISSIONS, REGARDING WHETHER THE SERVICES WILL PRODUCE ANY LEVEL OF PROFIT OR BUSINESS FOR YOU (IN EITHER CASE INWORLD OR OTHERWISE) OR LEAD TO ECONOMIC BENEFIT AND REGARDING ALL COMMUNICATIONS MADE THROUGH THE SITE OR SERVICES (INCLUDING THOSE COMMUNICATIONS BETWEEN ONREZ MEMBERS), INCLUDING ANY IMPLIED WARRANTY OF QUALITY, AVAILABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. In addition, Electric Sheep Company makes no representation or warranty that the Site OR SERVICES will be error free, THAT ANY ERRORS WILL BE CORRECTED OR THAT THE SERVICES WILL WORK INWORLD. Some states or jurisdictions do not allow the exclusion of certain warranties, SO some of the above exclusions may not apply to you.
13. Limitation of Liability. UNDER NO CIRCUMSTANCES WILL ELECTRIC SHEEP COMPANY BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH USE OF THE SITE, SERVICES, ONREZ CONTENT AND USER SUBMISSIONS INCLUDING, WITHOUT LIMITATION, INJURY OR DAMAGES RESULTING FROM THE CONDUCT OF ANY ONREZ USER, INWORLD, ONLINE OR OFFLINE, WHETHER OR NOT ELECTRIC SHEEP COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, ELECTRIC SHEEP COMPANY'S AGGREGATE LIABILITY TO YOU ARISING WITH RESPECT TO THIS AGREEMENT WILL NOT EXCEED $50. ELECTRIC SHEEP COMPANY WILL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY INTERRUPTIONS OR ERRORS RELATING TO THE SITE, SERVICES OR THE SCHEDULED OR UNSCHEDULED SERVICE INTERRUPTIONS OF ANY VIRTUAL ONLINE ENVIRONMENT OR MULTI-USER ONLINE SERVICE, SUCH AS SECOND LIFE. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION AND EXCLUSIONS MAY NOT APPLY TO YOU.
14. Force Majeure. Electric Sheep Company will not be liable to you by reason of any failure or delay in the performance of its obligations hereunder on account of events beyond its reasonable control, which may include, without limitation, denial-of-service attacks, strikes, shortages, riots, insurrection, fires, flood, storm, explosions, acts of God, war, terrorism, governmental action, labor conditions, earthquakes, material shortages, extraordinary Internet congestion or extraordinary connectivity issues experienced by major telecommunications providers and unrelated to the Electric Sheep Company infrastructure or connectivity to the Internet or failure at an Electric Sheep Company co-location facility (each a "Force Majeure Event"). Upon the occurrence of a Force Majeure Event, Electric Sheep Company will be excused from any further performance of its obligations effected by the Force Majeure Event for so long as the event continues, and for such further period of time that Electric Sheep Company may reasonably require to recover from the effects of such Force Majeure Event.
15. Relationship of the Parties. Notwithstanding any provision hereof, for all purposes of this Agreement each party will be independent and act independently and not as a contractor, partner, joint venturer, agent, employee or employer of the other and will not bind nor attempt to bind the other to any contract.
16. Notice; Consent to Electronic Notice. You consent to the use of (a) electronic means to complete this Agreement and to deliver any notices pursuant to this Agreement and (b) electronic records to store information related to this Agreement or your use of the Site or Services. Any notice or other communication to be given hereunder will be in writing and given (a) by Electric Sheep Company via email (in each case to the address that you provide), (b) a posting on the Site or (c) by you via email to support@onrez.com or to such other addresses as Electric Sheep Company may specify in writing. The date of receipt will be deemed the date on which such notice is transmitted.
17. Links to other Websites. The Site or Services may provide links to websites other than OnRez.com. Such links are provided for reference only, and Electric Sheep Company neither controls such websites nor endorses any of the material on any such websites or any association with their operators. Electric Sheep Company is not responsible for the activities or such sites, and has no liability to you for any harms, injuries or losses you might suffer as a result of using or accessing such websites.
18. Miscellaneous. In the event that any provision in this Agreement is held to be invalid or unenforceable, the unenforceable part shall be given effect to the greatest extent permitted by law and the remaining provisions will remain in full force and effect to the maximum extent permitted by law. The failure of a party to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision. You may not assign this Agreement (by operation of law or otherwise) without the prior written consent of Electric Sheep Company and any prohibited assignment will be null and void. Electric Sheep Company may assign this Agreement or any rights hereunder without your consent. This Agreement will be governed by and interpreted in accordance with the laws of the State of California excluding that body of law pertaining to conflict of laws. Any legal action or proceeding arising under this Agreement will be brought exclusively in courts located in Northern California and the parties hereby irrevocably consent to the personal jurisdiction and venue therein. You agree that this Agreement and the rules, restrictions and policies contained herein, and Electric Sheep Company's enforcement thereof, are not intended to confer and do not confer any rights or remedies upon any person other than you and Electric Sheep Company This Agreement together with the rules and policies of Electric Sheep Company and other Agreements incorporated herein by reference constitutes the entire agreement between Electric Sheep Company and you with respect to the subject matter of this Agreement.

OnRez Software License Agreement

This OnRez Software License Agreement ("License Agreement") is a legal agreement between you (either an individual or an entity) and The Electric Sheep Company, Inc. ("Electric Sheep Company") regarding the use of Electric Sheep Company's software entitled "OnRez Software" which includes third party software and may include user documentation provided in "online" or electronic form (the "Software").

YOU UNDERSTAND THAT BY CLICKING THE "I AGREE" BUTTON, BY INSTALLING OR USING THE SOFTWARE, or FILLING IN YOUR USER INFORMATION you ARE AGREEING TO BE BOUND BY THIS LICENSE AGREEMENT. IF you DO NOT ACCEPT THIS LICENSE AGREEMENT IN ITS ENTIRETY, ELECTRIC SHEEP COMPANY is unwilling to license you the software and you should not CLICK THE "I AGREE" BUTTON OR INSTALL OR USE ANY PART OF THE SOFTWARE. If you agree to this Agreement on behalf of a business, you represent and warrant that you have the authority to bind that business to this Agreement and your agreement to these terms will be treated as the agreement of the business. In that event, "you" and "your" refer herein to that business.

1. Grant of License. Subject to your compliance with the terms and conditions of this License Agreement, this License Agreement permits you to use one copy of the Software, for internal purposes only, on only one computer, and only by one user, at a time. If you have purchased multiple licenses for the Software, then at any time you may have as many copies of the Software in use as you have licenses. The Software is "in use" on a computer when it is loaded into the temporary memory (i.e. RAM) or installed into the permanent memory (e.g., hard disk, CD-ROM, or other storage device) of that computer.

2. Copyright. The Software is licensed, not sold. The Software is owned by Electric Sheep Company or its suppliers or licensors and is protected by United States copyright laws and international treaty provisions. Therefore, you may not use, copy, or distribute the Software without authorization. You may: (a) make one copy of the Software solely for backup or archival purposes, or (b) transfer the Software to a single hard disk provided you keep the original solely for backup or archival purposes. You may not copy any printed materials provided with the Software, nor print copies of any user documentation provided in "online" or electronic form.

3. Restrictions. You may not transfer, sublicense, rent, lease, lend or loan the Software to any third party. You may not reverse engineer, decompile or disassemble or otherwise attempt to learn the source code of the Software (or authorize any third party to do any of the foregoing), except to the extent the foregoing restriction is expressly prohibited by applicable law. Except as expressly specified in this License Agreement, you may not, copy, modify or create derivative works based upon the Software.

4. Term. This License Agreement remains effective until terminated. Electric Sheep Company may at any time terminate this License Agreement and the licenses granted hereunder without notice. You may terminate this License Agreement at any time by destroying all copies of the Software in your possession or control. This License Agreement will automatically terminate without notice if you breach any term of this License Agreement. Upon termination, you must destroy all copies of the Software in your possession or control. The provisions of the sections entitled "copyright", "RESTRICTIONS", "TERM", "no warranties", "no liability for consequential damages", "u.s. government-restricted rights" and "EXPORT restrictions" will survive any termination of this Agreement.

5. NO WARRANTIES. YOU ASSUME ALL RESPONSIBILITIES FOR SELECTION OF THE SOFTWARE TO ACHIEVE YOUR INTENDED RESULTS, AND FOR THE INSTALLATION OF, USE OF, AND RESULTS OBTAINED FROM THE SOFTWARE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELECTRIC SHEEP COMPANY DISCLAIMS ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT WITH RESPECT TO THE SOFTWARE AND THE ACCOMPANYING WRITTEN MATERIALS. SOME STATES DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

6. NO LIABILITY FOR CONSEQUENTIAL DAMAGES. YOU ASSUME THE ENTIRE COST OF ANY DAMAGE RESULTING FROM THE INFORMATION CONTAINED IN OR COMPILED BY THE SOFTWARE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ELECTRIC SHEEP COMPANY OR ITS SUPPLIERS OR LICENSORS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL ELECTRIC SHEEP COMPANY'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES IN ANY ONE OR MORE CAUSE OF ACTION EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE. THIS LIMITATION WILL APPLY REGARDLESS OF THE FAILURE OF THE ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

7. U.S. Government-Restricted Rights. The Software and any related documentation are deemed to be "commercial computer Software" and "commercial computer Software documentation," respectively, pursuant to DFAR Section 227.7202 and FAR Section 12.212, as applicable. Any use, modification, reproduction release, performance, display or disclosure of the Software and or any related documentation by the U.S. Government will be governed solely by the terms of this License Agreement and will be prohibited except to the extent expressly permitted by the terms of this License Agreement.

7. Export Restrictions. You may not download, export, or re-export the Software (a) into, or to a national or resident of, any country to which the United States has embargoed goods, or (b) to anyone on the United States Treasury Department's list of Specially Designated Nationals or the U.S. Commerce Department's Table of Deny Orders. By downloading or using the Software, you are representing and warranting that you are not located in, under the control of, or a national or resident of any such country or on any such list.

8. General. This License Agreement is governed by the laws of the United States and the State of California, without reference to conflict of laws principles. Any dispute between you and Electric Sheep Company regarding this License Agreement will be subject to the exclusive venue of the state and federal courts in the state of New York. This License Agreement is the entire License Agreement between you and Electric Sheep Company and supersedes any other communications or advertising with respect to the Software and documentation. If any provision of this License Agreement is held invalid, the remainder of this License Agreement will continue in full force and effect.
